These Terms of Service (“Terms”) govern your access to and use of the Cyne Up website and platform (the “Service”), owned and operated by Cyne Up, LLC doing business as Cyne Up (“Cyne Up,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.


1. Eligibility

To use Cyne Up, you must:

  • Have the authority to enter into legally binding contracts.
  • Agree to comply with all applicable laws and regulations.

If you are registering on behalf of an organization (e.g., a school or team), you confirm that you have the authority to do so.


2. Description of Service

Cyne Up provides a cloud-based platform for creating, managing, and participating in events. Features include:

  • Event registration
  • Customizable registration forms
  • Group messaging (email and SMS)
  • QR code check-ins
  • Judge scoring and scorecards
  • Auto-grouping of participants
  • Data exports
  • Payment collection and invoicing

We may add, remove, or modify features at any time, with or without notice.


3. User Accounts

You are responsible for:

  • Providing accurate and complete information during account creation.
  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.

Cyne Up is not liable for any loss or damage resulting from unauthorized account use.


4. Event Host Responsibilities

If you host an event using Cyne Up, you agree to:

  • Ensure compliance with all applicable laws related to data collection, payments, and communication.
  • Only collect information from registrants that is relevant to the event.
  • Avoid collecting sensitive data (e.g., health or government ID numbers) unless absolutely necessary and handled securely.
  • Maintain accurate event and contact information.
  • Respect the privacy and data of participants.

Cyne Up is not liable for the actions or conduct of event hosts.


5. Payments, Fees, and Invoicing

5.1 Payment Terms

Cyne Up offers both prepaid and invoiced options for paid events. When using paid features:

  • Fees must be paid by the stated due date (for invoices).
  • If paying upfront, your event will not be live until payment is confirmed.
  • All fees are stated in USD unless otherwise noted.

5.2 Payment Methods

We accept payments through trusted third-party payment processors (e.g., Stripe, PayPal). By using these services, you agree to their terms and conditions.

5.3 Late Payments

If payment is not received by the due date:

  • We reserve the right to suspend or cancel your event(s).
  • We may add a late fee or refer the matter to collections if unpaid after a reasonable grace period.
  • You remain responsible for any fees incurred.

5.4 Refund Policy

Unless otherwise stated in writing:

  • All purchases are final and non-refundable.
  • If you cancel your event or do not use the service, you are still responsible for payment.

We may, at our discretion, offer refunds in the case of platform-related service interruptions or errors.


6. Event Participant Responsibilities

If you register for an event via Cyne Up:

  • You agree to provide accurate, truthful information.
  • You understand that your data will be shared with the event host.
  • You agree to receive emails or SMS notifications related to the event.
  • You are responsible for checking in on time and following any event rules.

Cyne Up is not responsible for decisions made by event hosts, including invitations, acceptances, rejections, or scoring outcomes.


7. Data Collection and Use

Cyne Up collects and stores data necessary to operate the platform, including:

  • Registration data
  • Event details
  • Communication logs

7.1 Privacy Protection

We do not sell or share user data with third-party marketers.
Event hosts may export their own data, but Cyne Up will never use or redistribute this data for any commercial purpose.

8. Messaging and Communications

Cyne Up provides tools for hosts to send emails and SMS messages to registrants. By using this feature, hosts agree:

  • Not to send spam or irrelevant messages.
  • To use messaging only for legitimate event-related communication.
  • To comply with anti-spam laws including the CAN-SPAM Act and, where applicable, GDPR.

Participants agree to receive such messages by registering for an event through the platform.


9. Intellectual Property

All platform content, branding, software, and technology are the intellectual property of Cyne Up or its licensors.

You may not:

  • Reverse-engineer or copy the platform’s source code.
  • Use Cyne Up branding without permission.
  • Create derivative works from our service.

Event hosts retain ownership of their own logos, documents, and event materials uploaded to the platform.


10. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any law or regulation.
  • Harass, abuse, or harm others.
  • Infringe on intellectual property rights.
  • Upload malicious code, viruses, or spam.
  • Attempt unauthorized access to systems.

We reserve the right to suspend or terminate accounts violating this policy, without refund.


11. Termination

We reserve the right to:

  • Terminate your account at any time for violations of these Terms.
  • Suspend services temporarily due to maintenance, upgrades, or technical issues.

You may cancel your account at any time, but fees already paid will not be refunded.


12. Disclaimers

The Service is provided “as is” and “as available,” without warranty of any kind.
We do not guarantee:

  • That the platform will be error-free or uninterrupted.
  • That data will always be available or recoverable after deletion.
  • That participants will behave in any particular way.

You use the platform at your own risk.


13. Limitation of Liability

To the fullest extent permitted by law, Cyne Up is not liable for:

  • Losses due to event cancellations, miscommunications, or organizer errors.
  • Indirect, incidental, or consequential damages.
  • Loss of profits, data, or goodwill.

Our total liability under these Terms shall not exceed the amount paid to us for the affected service within the past 12 months.


14. Indemnification

You agree to indemnify and hold harmless Cyne Up, its employees, and affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the platform.
  • Any content you submit.
  • Violations of laws or rights of others.

15. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

Any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the state or federal courts located in Loudoun County, Virginia, and you hereby consent to the personal jurisdiction and venue of such courts.


16. Modifications

Cyne Up reserves the right to update or modify these Terms at any time. We will provide notice of changes via email or platform notification. Continued use of the platform after changes take effect constitutes acceptance of the new Terms.

17. Satisfaction Guarantee

Cyne Up offers a 100% Satisfaction Guarantee for event hosts, subject to the following terms:

We stand behind the functionality, performance, and reliability of our platform. If you are not satisfied with the service provided, you may contact us within [30 days] of your purchase to request a resolution, which may include a refund, credit, or extended service period at our discretion.

This guarantee does not apply to issues resulting from:

  • User error, misuse, or misunderstanding of the platform
  • Failure to follow the documentation or onboarding materials
  • Third-party system failures (e.g., internet outages, payment processor issues)
  • Errors or issues caused by inaccurate or incomplete data entered by the user
  • Requests made after the guarantee window has expired

To be eligible, the issue must be reported via email or through our support form with details explaining the problem. We may request access to your account or logs to verify the claim.

Cyne Up reserves the right to deny refund or satisfaction claims that do not meet these conditions.
